Terms & Conditions of Service

These Terms & Conditions “Agreement” govern all products and services provided by LexaDent Studio LLC “Laboratory,” “LexaDent Studio,” “we,” “our,” or “us” to the prescribing dentist or dental practice “Client”. Submission of any case, prescription, or digital file to the Laboratory constitutes the Client’s acceptance of this Agreement.

1. Laboratory Services

The Laboratory provides custom dental laboratory services, including but not limited to:

  • Zirconia restorations
  • Lithium disilicate restorations
  • Implant-supported restorations
  • Veneers
  • Digital smile design
  • Diagnostic wax-ups
  • Printed dental models
  • Other custom prosthetic services as requested

All restorations are fabricated solely pursuant to a written prescription submitted by a licensed dentist in accordance with applicable law.

2. Prescription Requirements

The Client is solely responsible for providing complete, accurate, and legible prescription information, including:

  • Patient identification
  • Restoration type
  • Tooth numbers
  • Material selection
  • Shade information
  • Margin design
  • Occlusal scheme
  • Implant system when applicable
  • Bite registration
  • Photographs when esthetics are critical

The Laboratory shall not be responsible for errors, defects, or delays resulting from incomplete, inaccurate, or inconsistent prescription information or digital data submitted by the Client.

3. Digital Scan Quality

The Client is responsible for ensuring that all submitted digital impressions and related
data accurately capture:

  • Preparation margins
  • Occlusal anatomy
  • Adjacent contacts
  • Bite registration
  • Soft tissue conditions

The Laboratory reserves the right to request additional scans or information if submitted data is insufficient for fabrication. Any resulting delays shall not be the responsibility of the Laboratory.

4. Turnaround Time

Estimated production times are as follows:

Standard Cases

6–8 business days following receipt and approval of all required records.

Complex Cases

10–14 business days following final design approval.

Rush service may be available at the Laboratory’s discretion and is subject to an
additional fee of 25–30%.

All turnaround times are estimates of in-laboratory production time only and do not
include the date of case submission or shipping time.

If Client requests screenshots or final approval of case before processing, all turnaround times begin 24 hours AFTER Client approval.

5. Case Approval

For cases requiring approval, including digital designs, smile designs, or diagnostic
wax-ups, the Laboratory will not proceed until written approval is received from the
Client.

Approval constitutes the Client’s acceptance of:

  • Tooth position
  • Tooth morphology
  • Incisal edge position
  • Midline
  • Smile design
  • Overall restorative design

The Laboratory will provide one 1 revision following initial approval. Any additional revisions or changes requested after approval may result in additional fees and extended turnaround times.

For crown and bridge cases that a client has requested screenshots for approval, (**NOT including Smile Designs or Diagnostic Wax-Ups**) Client has 24 hours from time of design approval to request revisions to design or shade change. Failure to inform the lab of changes within 24 hours of Client approval may result in additional fees and extended turnaround times.    

6. Pricing

All services are billed in accordance with the Laboratory’s current published fee schedule.

The Laboratory reserves the right to modify pricing at any time. Updated pricing will apply to cases submitted after the effective date of such changes.

Additional fees may apply for:

  • Rush service
  • Shade modifications
  • Contact additions
  • Design revisions after approval
  • Additional printed models
  • Shipping upgrades

7. Payment Terms

7.1 Account Status & Credit Terms

All new accounts are established on a Cash on Delivery COD basis until a satisfactory payment history has been established with the Laboratory.

After a satisfactory payment history is established, the Client may apply for credit terms, which may be granted at the sole discretion of the Laboratory.

  • Approved accounts may be granted Net 15 terms and credit limit. The Laboratory reserves the right to approve, deny, or modify credit terms at its sole discretion at any time.

7.2 Payment Due Date

Payment is due according to the terms assigned to the Client’s account and as stated on each invoice. Failure to comply with assigned terms may result in immediate modification or revocation of credit privileges.

7.3 Late Payments

Invoices not paid by the due date are considered past due.

  • Accounts more than 5 days past due may automatically revert to COD status
  • The Laboratory may place the account on hold until the balance is brought current
  • No new cases will be processed while an account is past due unless otherwise approved in writing

7.4 Finance Charges

Past-due balances may be subject to a finance charge of up to 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower.

Finance charges will continue to accrue until the account is paid in full.

7.5 Collection Costs

In the event collection efforts are required, the Client agrees to be responsible for all reasonable costs of collection, including but not limited to:

  • Collection agency fees
  • Attorney’s fees
  • Court costs and related expenses

where permitted by law.

7.6 Suspension of Services

The Laboratory reserves the right to:

  • Suspend production of current cases
  • Refuse new cases
  • Terminate credit privileges
  • Withhold delivery of completed work
  • for any account with an outstanding balance or unresolved payment issue.

8. Shipping

The Laboratory will package all restorations using commercially reasonable care.

Risk of loss and title transfer to the Client upon delivery of the shipment to the carrier

The Laboratory shall not be liable for delays, damage, or loss caused by shipping carriers, weather conditions, or other events beyond its reasonable control.

9. Warranty

The Laboratory provides a lifetime warranty against defects in materials and workmanship under normal clinical use.

This warranty does not apply to failures resulting from:

  • Trauma or accidents
  • Bruxism or parafunctional habits
  • Improper preparation design
  • Inadequate reduction
  • Insufficient occlusal clearance
  • Improper bonding or cementation
  • Implant component failure
  • Alteration of the restoration after delivery
  • Improper storage or handling

The Laboratory’s sole obligation under this warranty is limited to the repair or remake of the defective restoration. No refunds or additional compensation shall be provided.

10. Remake and Adjustment Policy

Remakes or adjustments resulting from Laboratory error will be performed at no charge.

Remakes or adjustments resulting from changes in prescription, preparation, shade selection, patient preference, or clinical conditions may be subject to additional fees.

The Laboratory may require return of the original restoration, models, dies, and/or review of original scans prior to initiating remake or adjustment work.

For cases involving four 4 or more anterior teeth, or combined anterior and posterior restorations totaling four 4 or more units in either arch, the Client must provide scans of patient temporary restorations. Failure to provide such scans may result in additional charges for occlusal adjustments and associated shipping costs.

11. Shade Matching

The Client is responsible for providing accurate and complete shade information.

For anterior restorations, photographs, stump shade, and shade maps are required.

Final esthetic outcomes may vary based on:

  • Cement color
  • Tooth preparation
  • Remaining tooth structure
  • Lighting conditions
  • Adjacent dentition

The Laboratory does not guarantee exact shade duplication.

12. Implant Restorations

The Client is solely responsible for verifying all implant-related information, including:

  • Implant system
  • Platform
  • Components
  • Seating
  • Scan bodies and complete seating thereof
  • Passive fit
  • Torque values

The Laboratory shall not be liable for complications arising from incorrect, incomplete, or improperly supplied implant information or components.

13. Digital Smile Design

Digital smile designs are intended as planning and communication tools only.

Final restorations may require modification based on clinical conditions.

Patient approval of a digital simulation does not guarantee that the final clinical result will exactly match the simulation.

14. Limitation of Liability

To the fullest extent permitted by applicable law, the Laboratory’s total liability for any claim arising out of or relating to its services shall not exceed the amount paid by the Client for the specific restoration or service giving rise to the claim.

In no event shall the Laboratory be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost production, additional chair time, or other business losses.

15. Confidentiality

The Laboratory will maintain commercially reasonable safeguards to protect patient
information and will handle all submitted data in accordance with applicable privacy
laws and professional standards.

The Client is solely responsible for obtaining all required patient consents and for compliance with all applicable legal and regulatory requirements.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the
State of Alabama.

Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in a court of competent jurisdiction located within the State of Alabama, unless otherwise agreed in writing by the parties.

17. Acceptance

Submission of any case, prescription, or digital file to the Laboratory constitutes the Client’s acknowledgment and acceptance of this Agreement.
